Terms & Conditions

These Terms govern your use of the ShopPilot Android app, website and related services (the “Service”) provided by Black & White Studio (“we”, “us”). By using the Service, you agree to these Terms and our Privacy Policy.

1. Eligibility and accounts

You must be legally able to enter this agreement and use the Service for lawful business purposes. You are responsible for your Google account, device access, accurate profile information and activity performed through your account. Notify us promptly if you suspect unauthorized access.

2. What ShopPilot provides

ShopPilot offers point of sale, Bluetooth thermal receipt printing, PDF invoices, inventory, purchases, customer and supplier records, dues, accounts, expenses, returns, loyalty, reporting, export and backup features. Some functionality depends on device capabilities, internet access, Google services, your region, app version, configuration or plan. Features may be added, changed, limited or discontinued.

3. Your business records and responsibilities

You retain rights in information you enter. You grant us only the limited rights needed to process information and provide features you choose. You are responsible for the accuracy and legality of your records, taxes, prices, invoices, stock, accounting decisions and notices or consents required when entering customer, employee or supplier information.

ShopPilot is an operational tool, not professional accounting, tax, legal or financial advice. Verify important totals and comply with applicable business, consumer, tax and recordkeeping laws.

4. Offline data and backups

Much of the Service stores data locally on your device. You are responsible for protecting the device and maintaining current, tested backups. File and Google Drive backup/restore tools are provided for convenience and may fail because of storage, connectivity, authorization, device, provider or software issues. Restoring a backup can replace current local records. Review confirmation screens carefully.

5. Free version, ads and paid access

The free version may display advertising and may include usage or action limits. Optional subscriptions or one-time purchases may remove ads or unlock benefits described at checkout. Prices, taxes, trials, renewal dates and availability are shown by Google Play and may vary by country.

• Subscriptions renew automatically unless cancelled in Google Play before renewal.
• Manage or cancel purchases through the Google Play account used to buy them.
• Refunds are handled under Google Play rules and applicable law.
• A lifetime purchase means access for the supported lifetime of this product/service, not the purchaser’s lifetime, and does not guarantee that every future feature is included.
• We may verify purchase status and restore valid entitlements.

6. Acceptable use

You must not misuse the Service, violate law or third-party rights, upload malicious content, attempt unauthorized access, disrupt infrastructure, bypass ads or plan controls, falsify entitlements, reverse engineer except where law expressly permits, or use ShopPilot to build or train a competing product without written permission.

7. Intellectual property and feedback

ShopPilot, its software, design, branding and content are owned by Black & White Studio or its licensors. We give you a limited, non-exclusive, non-transferable, revocable right to use the Service under these Terms. If you send suggestions, you allow us to use them without obligation or compensation.

8. Third-party services

The Service may rely on Google Sign-In, Drive, Play Billing, Firebase, AdMob, Android and other third-party services. Their terms and availability also apply. We are not responsible for third-party outages, policy changes or content.

9. Availability, updates and termination

We aim to provide a reliable Service but do not promise uninterrupted or error-free operation. Updates may be required for security, compatibility or continued online functionality. You may stop using the Service at any time. We may suspend or terminate access for material breach, fraud, security risk or legal requirement. Sections intended to survive termination remain effective.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability or freedom from data loss. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, Black & White Studio will not be liable for indirect, incidental, special, consequential or punitive loss, or for lost profits, revenue, goodwill, business opportunity or data. Our aggregate liability relating to the Service will not exceed the amount you paid for ShopPilot in the twelve months before the event giving rise to the claim. These limits do not apply where prohibited by law.

12. Indemnity

Where permitted by law, you agree to indemnify Black & White Studio against third-party claims arising from your unlawful use, your business records, your breach of these Terms or your violation of another person’s rights.

13. Governing law and changes

These Terms are governed by the laws of Bangladesh, without regard to conflict-of-law rules. Courts with jurisdiction in Dhaka, Bangladesh will have jurisdiction, except where consumer law requires otherwise. We may update these Terms as the Service evolves. Continued use after an effective update means acceptance; if you disagree, stop using the Service.

These Terms form the entire agreement about the Service. If one provision is unenforceable, the remaining provisions continue.
